Dentalogic (Subscription SaaS)

These Terms and Conditions ("Terms") govern your access to and use of the Dentalogic cloud software and any related websites, applications, and services (collectively, the "Service"), provided by Premium Soft Ventures ("Premium Soft Ventures", "we", "us", "our").
IMPORTANT: If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
1. Definitions
- "Customer" means the person or entity that purchases a subscription.
- "Authorized Users" means individuals the Customer permits to use the Service.
- "Customer Data" means all data (including personal data) submitted to the Service by or on behalf of the Customer.
- "Subscription" means the paid plan (monthly or annual) that provides access to the Service.
2. The Service
2.1 We provide access to the Service as described on our website and in-product.
2.2 We may update, change, or discontinue parts of the Service. If changes materially reduce core functionality, we will use reasonable efforts to notify you in advance.
3. Eligibility and account security
3.1 You must be at least 18 years old to purchase a Subscription.
3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
4. Subscription plans, billing, and taxes
4.1 Plans: Subscriptions are offered on a monthly or annual billing cycle, as selected at checkout.
4.2 Automatic renewal: Subscriptions renew automatically unless canceled before the end of the current billing period.
4.3 Payment processor: Payments are processed via Stripe. We do not store full payment card details.
4.4 Taxes: Prices may be shown exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes, duties, or charges imposed by authorities, except for taxes based on our income.
5. Cancellation
5.1 You can cancel your Subscription at any time. Cancellation stops future renewals.
5.2 Unless required by law, cancellation does not entitle you to a prorated refund for any unused portion of the current billing period.
6. Refunds
Refund rules are set out in our Refund Policy, which forms part of these Terms.
7. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Upload malware, attempt unauthorized access, or interfere with the integrity or performance of the Service.
- Reverse engineer, decompile, or attempt to extract source code except where prohibited by law.
- Resell or provide the Service on a service bureau basis without our written permission.
8. Customer Data and data protection
8.1 Ownership: As between the parties, Customer retains all rights to Customer Data.
8.2 Roles under GDPR: For Customer Data processed in the Service, Customer is typically the "Controller" and we are the "Processor" (as defined in the GDPR).
8.3 Data Processing Agreement (DPA): Where required, the parties will enter into our DPA, which is incorporated by reference.
8.4 Privacy Policy: Our handling of personal data related to website visitors, prospects, and account administration is described in our Privacy Policy.
9. Third-party services
The Service may integrate with third-party services (e.g., Stripe). Your use of third-party services is subject to their terms and policies.
10. Support
We provide support by email at ireland.psv@gmail.com. Support hours, response targets, and any service level commitments (if any) may be described on our website or in your order.
11. Service availability
We aim to keep the Service available, but we do not guarantee uninterrupted operation. Planned maintenance may cause downtime.
12. Intellectual property and license
12.1 We own the Service and all related intellectual property.
12.2 During an active Subscription, we grant Customer a limited, non-exclusive, non-transferable right to access and use the Service for Customer's internal business purposes.
13. Confidentiality
Each party may receive confidential information. Each party agrees to protect the other party's confidential information and use it only to perform under these Terms.
14. Term and termination
14.1 Term: These Terms remain in effect while you use the Service.
14.2 Termination by you: You may stop using the Service at any time and cancel.
14.3 Termination by us: We may suspend or terminate access if you materially breach these Terms, fail to pay, or if required by law.
15. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of liability
To the maximum extent permitted by law:
- We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities.
- Our aggregate liability for all claims arising out of or related to the Service will not exceed the amounts paid by you to us for the Service in the 12 months immediately preceding the event giving rise to the claim.
17. Governing law and jurisdiction
These Terms are governed by the laws of Ireland. The courts of Ireland will have exclusive jurisdiction, except where mandatory consumer protection rules provide otherwise.
18. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date will change. If changes are material, we will provide reasonable notice.
